Kali ini menengahi perdebatan terkait siapa yang sah, menurut Perpres 54/2010 dan seluruh perubahannya, menandatangani kontrak. Pemicu salah satunya adalah dari praktik yang sering disebut dengan “subkontrak” atau pengalihan pekerjaan kepada pihak lain, setelah ditetapkan menjadi pemenang. Jamak ditemui penyedia yang ditetapkan pemenang kemudian melimpahkan penandatanganan kontrak dan pelaksanaan pekerjaan kepada pihak lain. Bahkan kemudian penguasaan ini seolah-olah diperkuat dengan Akte Notaris.
Berbedanya individu penandatangan kontrak dengan individu penandatangan penawaran, dari sisi praktik bisnisnya, tidaklah salah selama memenuhi ketentuan aturan.
Untuk itu perlu kiranya dibahas bagaimana ketentuan penguasaan penandatanganan kontrak dan pengalihan pelaksanaan pekerjaan sesuai dengan ketentuan Perpres 54/2010. Minimal ada 2 pasal yang harus diperhatikan dalam pembahasan ini.
Pasal 79 ayat 2 :
Dalam evaluasi penawaran, Kelompok Kerja ULP/Pejabat Pengadaan dan Penyedia Barang/Jasa dilarang melakukan tindakan post bidding.
Penjelasan :
Tindakan post bidding yaitu tindakan mengubah, menambah, mengganti dan/atau mengurangi Dokumen Pengadaan dan/atau Dokumen Penawaran setelah batas akhir pemasukan penawaran.
Kesepakatan pengalihan pekerjaan kepada pihak lain dilarang dilakukan diluar kesepahaman yang tertuang dalam dokumen pengadaan dan dokumen penawaran. Inilah yang disebut postbidding. Postbidding ada dua jenis yaitu postbidding dokumen pengadaan dan postbidding dokumen penawaran. Pengalihan pekerjaan berpotensi melanggar larangan postbidding dokumen penawaran. Jika penyedia pelaksana pekerjaan ternyata tidak menggunakan kompetensi dan spesifikasi teknis yang ditawarkan ini adalah postbidding.
Sifat aturan pasal 79 ayat 2 jelas sekali adalah larangan. Untuk itu kontrak yang ditandatangani tidak boleh melanggar larangan ini. Jika tetap dilakukan kontrak yang ditandatangani akan berpotensi tidak memenuhi asas hukum berkontrak. Kitab Undang-Undang Hukum Perdata Pasal 1320 ayat jo.1337 menentukan bahwa para pihak tidak bebas untuk membuat perjanjian yang menyangkut causa yang dilarang oleh undang-undang. Causa atau sebab itu halal apabila tidak dilarang oleh undang-undang dan tidak bertentangan dengan ketertiban umum dan kesusilaan. Akibat hukum perjanjian yang berisi sebab yang tidak halal adalah perjanjian itu batal demi hukum. Status batal demi hukum mengakibatkan perjanjian dianggap tidak pernah ada. Atas status ini semua pihak (PPK dan Penyedia) tidak berhak mendapatkan keuntungan atas perikatan yang dianggap tidak ada.
Sisi lain yang berpotensi dilanggar atas praktik pengalihan pekerjaan ini adalah ketentuan “subkontrak”. Subkontrak harus memenuhi ketentuan yang telah diatur dalam dokumen pengadaan dan mengacu pada ketentuan Perpres 54/2010. Pasal 87 ayat 3 dan 4 jelas menyebutkan bahwa : (3) Penyedia Barang/Jasa dilarang mengalihkan pelaksanaan pekerjaan utama berdasarkan Kontrak, dengan melakukan subkontrak kepada pihak lain, kecuali sebagian pekerjaan utama kepada penyedia Barang/Jasa spesialis. (4) Pelanggaran atas ketentuan sebagaimana dimaksud pada ayat (3), Penyedia Barang/Jasa dikenakan sanksi berupa denda yang bentuk dan besarnya sesuai dengan ketentuan sebagaimana diatur dalam Dokumen Kontrak.
Bagaimana jika ternyata ini bukan pengalihan pekerjaan atau subkontrak? Apakah melimpahkan atau menguasakan penandatanganan kontrak dilarang? Untuk itu kita harus melihat pasal 87 ayat 5 dan 6.
(5) Pihak yang berwenang menandatangani Kontrak Pengadaan Barang/Jasa atas nama Penyedia Barang/Jasa adalah Direksi yang disebutkan namanya dalam Akta Pendirian/Anggaran Dasar Penyedia Barang/Jasa, yang telah didaftarkan sesuai dengan peraturan perundang-undangan.
(6) Pihak lain yang bukan Direksi atau yang namanya tidak disebutkan dalam Akta Pendirian/Anggaran Dasar sebagaimana dimaksud pada ayat (5), dapat menandatangani Kontrak Pengadaan Barang/Jasa, sepanjang pihak tersebut adalah pengurus/karyawan perusahaan yang berstatus sebagai tenaga kerja tetap dan mendapat kuasa atau pendelegasian wewenang yang sah dari Direksi atau pihak yang sah berdasarkan Akta Pendirian/Anggaran Dasar untuk menandatangani Kontrak Pengadaan Barang/Jasa.
Dari pasal ini maka dapat kita pilah syarat sah penandatanganan kontrak adalah terpenuhinya keabsahan penerima kuasa dan pemberi kuasa, sebagai berikut :
